Nscale announced a $3.36 billion convertible financing package on 25 September 2026 to expand its artificial-intelligence computing infrastructure ahead of a planned stock-market listing.

The company said Third Point led the financing, with participation from investors including Nvidia, Apollo-managed funds, Citadel and the Abu Dhabi Investment Council.

The total comprises an initial $2.36 billion tranche at closing and a $1 billion commitment from Nvidia. Nscale expects Nvidia’s funding in mid-November 2026, so the headline figure includes money scheduled to arrive later.

The loan notes will automatically convert into shares when Nscale completes an initial public offering, according to the company. Nvidia’s notes would convert into non-voting shares. The announcement did not give a listing date.

Nscale said it would use the capital to expand infrastructure spanning power generation, liquid-cooled data centres and large GPU clusters. These facilities supply the computing capacity used to train and run AI models.

TechCrunch reported the financing on 25 September. The company’s own announcement confirms the amount and distinguishes the initial tranche from Nvidia’s later commitment.
